These Terms of Service (“Terms”) govern your access to and use of the artificial intelligence models, software, APIs, platforms, applications, and related services (collectively, the “Services”) provided by Facilis Logistics DBA Xylem Robotics (“Company,” “we,” “us,” or “our”).

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you may not access or use the Services.

  1. Eligibility and Authority

You must be legally capable of entering into these Terms. If you use the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

You agree to use the Services only for lawful purposes and in compliance with all applicable laws, regulations, and professional standards.

  • Reverse engineer, decompile, disassemble, or attempt to extract source code, model weights, or underlying system components
  • Access or use the Services to develop or improve competing products or services
  • Circumvent usage limits, security measures, or access controls
  • Use the Services for deceptive, harmful, or abusive activities
  • Misrepresent AI-generated outputs as human-generated where disclosure is legally required
  1. Accounts and Security

You are responsible for maintaining the confidentiality of your account credentials, including API keys, and for all activity that occurs under your account. You must notify us promptly of any unauthorized use or security incident.

  1. Intellectual Property Rights

For further details regarding ownership, licensing, restrictions, and enforcement of our intellectual property rights, please review our Intellectual Property Policy at the IP page. That policy forms part of these Terms and applies to all use of the Services.

  1. Confidentiality

Non-public technical, operational, or commercial information disclosed through the Services is confidential. You agree not to disclose or misuse such information without prior written consent.

These Terms are governed by the laws of Stafford, Texas/USA, without regard to conflict-of-law principles. Any disputes shall be resolved exclusively in the courts located in Fort Bend County, Texas.

We may update these Terms from time to time. Continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
