Intellectual Property Policy

This Intellectual Property Policy (“IP Policy”) describes how Facilis Logistics DBA Xylem Robotics (“Company,” “we,” “us,” or “our”) owns, protects, and licenses its intellectual property in connection with our products, services, artificial intelligence models, software, and related technologies (collectively, the “Services”).

This IP Policy is incorporated into and forms part of our Terms of Service.

1. Ownership of Intellectual Property

All intellectual property rights in and to the Services are owned by or licensed to Xylem Robotics, including but not limited to:

  • Artificial intelligence models, architectures, parameters, and pipelines

  • Algorithms, methods, workflows, and system designs

  • Training, fine-tuning, evaluation, and synthetic datasets

  • Software, APIs, SDKs, source code, object code, and documentation

  • User interfaces, designs, graphics, and visual elements

  • Trademarks, service marks, logos, and branding

  • Patents, patent applications, and inventions

Except as expressly permitted in writing, no rights are granted to any user under this Policy.

2. Patents and Patent Notices

Certain products, features, or technologies offered by the Company may be protected by one or more patents or pending patent applications in the United States and/or other jurisdictions.

2.1 Patent List

A non-exhaustive list of Company patents may be made available.

The list may be updated from time to time and may not include all patents or pending applications associated with the Services.

2.2 Reservation of Rights

Nothing in this Policy shall be construed as granting, by implication or otherwise, any license or right under any patent, patent application, or other intellectual property right of the Company except as expressly stated in the Terms of Service.

3. Trademarks

All Company names, product names, service names, logos, and slogans are trademarks or registered trademarks of Xylem Robotics or its licensors.

You may not use Company trademarks without prior written permission, except as permitted by applicable law or expressly authorized in writing.

4. Permitted Use and License Scope

Your use of the Services is governed by the license granted in the Terms of Service. You may not:

  • Copy, reproduce, or distribute Company’s intellectual property

  • Create derivative works based on Company models, software, or designs

  • Use the company’s intellectual property to develop or support competing products or services

  • Remove or alter proprietary notices or attributions

All rights not expressly granted are reserved by the Company.

5. AI Models and Outputs

While users may be permitted to use outputs generated by the Services in accordance with the Terms of Service:

  • The Company retains all rights in the underlying AI models, systems, and methodologies

  • Outputs do not transfer ownership of any Company intellectual property

  • Outputs may not be used to train, fine-tune, or benchmark competing AI systems

6. User Feedback and Suggestions

Any feedback, ideas, or suggestions provided to the Company regarding the Services may be used by the Company for any purpose without restriction, compensation, or obligation.

7. Reporting Infringement

If you believe that Company intellectual property has been misused or infringed, or if you believe your intellectual property rights have been violated in connection with the Services, please contact:

8. Changes to This Policy

We may update this Intellectual Property Policy from time to time. Updates will be effective upon posting unless otherwise stated.
